Continuation of Business Alliance between Nippon Telegraph and Telephone Corporation and JTOWER Inc.

We are pleased to announce that Nippon Telegraph and Telephone Corporation (“NTT”) and JTOWER Inc. (“JTOWER”) have decided to continue the business alliance to promote the infrastructure sharing model in the era of 5th generation mobile communication systems (the “Business Alliance”), which both companies have been engaged in since July 4, 2019.

1. Background and Objectives
Today, DB Pyramid Holdings, LLC, a U.S. subsidiary of DigitalBridge Group, Inc., announced that it will acquire the common shares of JTOWER through a tender offer pursuant to the Financial Instruments and Exchange Act (Act No. 25 of 1948, as amended) (the “Tender Offer”), but NTT and JTOWER will continue our existing Business Alliance.

Specific details in this Business Alliance are as follows.

1．Utilization of know-how in construction, maintenance, and related management, etc;
2．Promote economical, high value-added mobile network construction;
3．Streamlining development of base station by exchanging information on shared facilities and facilities/areas where customers request to install base stations; and
4．Developing and using new shared facilities through sharing of technology and knowledge.

NTT and JTOWER believe that infrastructure sharing will continue to contribute to the growth of the telecommunications industry in Japan, and by continuing to work together to promote infrastructure sharing, the two companies aim to contribute to the efficient deployment of mobile networks, the reduction of areas without communications, and resolution of social issues.
